| This Attachment describes the SquareAuction Membership program. |

| This Attachment is in conjunction with ARTICLE 2 of SquareAuction Terms and Conditions and is an inseparable part of this agreement. |
|
| SquareAuction offers its users the following membership programs: |
|
| Bronze Membership Program |
| a. |
For each bid placed by Bronze member in Bronze auction he will be awarded with unlimited number of free sorts and free autopilot activations at that auction. |
| b. |
Bronze member will receive 5 "Premium Bids" for free, each month as long as his membership is valid. Premium Bids are used for Premium auctions only, instead of Squares. |
| c. |
Featured auction status table view (exact Bids Count instead of Bid Popularity column). |
| d. |
Bronze member will be given an opportunity to sell back to Company the auction item he has won for as lot as 80 % from the average street price of this item that was stated at the auction. |

| Silver Membership Program |
| a. |
For each bid placed by Silver member in Bronze or Silver auction he will be awarded with unlimited number of free sorts and free autopilot activations at that auction. |
| b. |
Silver member will receive 10 Premium Bids for free each month as long as his membership is valid. Premium Bids are used for Premium auctions only, instead of Squares. |
| c. |
Featured auction status table view (exact Bids Count instead of Bid Popularity column). |
| d. |
Silver member will be given an opportunity to sell back to Company the auction item he has won for as lot as 85 % from the average street price of this item that was stated at the auction. |

| Gold Membership Program |
| a. |
a. For each bid placed by Gold member in Bronze, Silver or Gold auction he will be awarded with unlimited number of free sorts and free autopilot activations for all types of auctions. |
| b. |
b. Gold member will receive 20 Premium Bids for free each month as long as his membership is valid. Premium Bids are used for Premium auctions only, instead of Squares. |
| c. |
c. Featured auction status table view (exact Bids Count instead of Bid Popularity column). |
| d. |
d. Gold member will be given an opportunity to sell back to Company the auction item he has won for as lot as 90 % from the average street price of this item that was stated at the auction. |

| Every SquareAuction registered user can become a paid member at any time and for any period by registering for the one of SquareAuction membership programs. In this case: |
- A valid period of user's membership program will be according to the new purchased membership period.
- The member will receive his free "Premium Bids" for all membership period he subscribed immediately after completion of membership purchasing process.

| For example: Mathew is a registered user on SquareAuction. Just right now (Dec-28-2006 @ 06:54pm) Mathew has paid for his first 3-month of Bronze membership program. In this case, Mathew's Bronze membership program will expire on Mar-28-2007 @ 06:54pm, and his "Available Premium Bids" account will be credited with 15 additional free Premium Bids immediately (5 Premium Bids for every Bronze Membership month). |

| Every SquareAuction paid member can extend his current membership program at any time (even before his current membership program expiration) and for any period by purchasing an additional same type membership program. In this case: |
- A valid period of members' current membership program will be extended by the new purchased membership period.
- The member will receive his free "Premium Bids" for all extended membership period immediately after completion of membership extension process.

| For example: Mary is a Silver member of SquareAuction. Her current membership will expire in 2 weeks, on Dec-28-2006 @ 06:54pm. Just right now, Mary has paid for additional 3 month of Silver membership program. In this case, Mary's Silver membership program will be extended by 3 additional months until its new expiration date on Mar-28-2007 @ 06:54pm, and her "Available Premium Bids" account will be credited with 30 additional free Premium Bids immediately (10 Premium Bids for every Silver Membership month). |

| Every SquareAuction paid member can upgrade his membership program at any time (even before his current membership program expiration) and for any period by purchasing an additional (more valuable) membership program for the period longer that current membership program expiration period. In this case: |
- All benefits and a valid period of user's membership program will be upgraded immediately according to the new purchased membership type and period.
- A user will receive his free "Premium Bids" for all upgraded membership period immediately after completion of membership upgrading process.

| Example 1: Patrick is a Silver member of SquareAuction. His current membership will expire in 2 weeks. Just right now, on Dec-28-2006 @ 06:54pm, Patrick has paid for 3 month of Gold membership program. In this case, Patrick's Silver membership program will be upgraded with 3 month of Gold membership program until its new expiration date on Mar-28-2007 @ 06:54pm, and his "Available Premium Bids" account will be credited with 60 additional free Premium Bids immediately (20 Premium Bids for every Gold Membership month). |

| Example 2: Joe is a Bronze member of SquareAuction. His current membership will expire in 2 month. Just right now, on Dec-28-2006 @ 06:54pm, Joe has unsuccessfully tried to upgrade his membership program for 1 month Gold membership program. In this case, Joe's membership upgrade process failed because the current membership program expiration period (from now till expiration date) exceeds the new (upgrading) membership program period. |

| A valid SquareAuction Membership Program can not be frozen, paused, downgraded or canceled by user and a membership fee is not refundable under any circumstances. |
